Doble Expo, Sponsor and Hospitality Suites
Terms and Conditions

Exhibitors, Sponsors and Suite Holders (hereinafter "Exhibitors") shall be bound by the following Terms and Conditions. Any changes must be made in writing and signed by an authorized representative of Doble Engineering Company (hereinafter Doble) who shall have full power to interpret and to alter or amend the rules hereof.  Any disputes or conflicts arising out of the interpretation of these terms and conditions or regarding the rights, duties and obligations of the Exhibitors shall be decided by Doble, whose decision shall be final.

PAYMENT

Doble must receive full payment a minimum of 30 days prior to the Event. If Doble does not received payment before the Event opens the Exhibitor will be required to provide payment on site in order to participate in the event.

Exhibitors will not be permitted to be part of the Event unless they have paid in full to Doble all of the fees agreed for this exhibition, in accordance with Doble’s published payment terms.

OFFER

Submission of an Exhibitor application and/or payment fees constitute an offer which Doble may choose to accept by assigning exhibition space, hospitality suite or other activity.  Doble reserves the right to decline Exhibitor applications at Doble’s discretion. Should Doble, at its discretion elect to decline an Exhibitor application, any payments made by the applicant will be refunded.


NO WARRANTY

Doble makes no guarantees expressed or implied for the amount of traffic or sales leads an Exhibitor may receive at the Event. Doble does not guarantee that food and beverage placement will be the same as in previous years.


ASSIGNMENT

Rights of Exhibitors shall not be assignable. No Exhibitors may assign or transfer or sublet the whole or any part of their contracted spaces to any other parties without the express written consent of Doble.


RIGHT TO PARTICIPATE

Doble reserves all rights to refuse any persons or parties to enter the Event, only paid attendees, appointed persons of the Exhibitor and special invited guests who are accepted by Doble will be allowed to receive entry badges for admission.


CANCELLATIONS

If an exhibitor cancels their space 60 or more days prior to the Event, they will receive a full refund of any payments made to Doble.

If an Exhibitor cancels space 59 – 31 days prior to the exhibition, they will receive a 50% refund.

Cancellations made 30 days or less before the exhibition are non-refundable. Exhibitor agrees to pay any outstanding exhibitor application fees if they cancel 30 days or less before the exhibition.


OFF-SITE EVENTS AND OUTBOARDING

Any Exhibitor-organized social events of 6 persons or more (said persons representing companies other than the exhibitor) must be pre-approved by Doble in writing. There will be no exceptions to this clause. Failure to notify and gain approval from Doble may result in expulsion from the event. This requirement is based on guidance from the Doble Client Advisory Committee in an effort to create a successful program with minimal scheduling conflicts.

Exhibitor agrees not to exhibit its products/services outside the official Event venues during the official show hours of the Event. Exhibitor also agrees not to conduct any presentation or demonstration related activities that would induce attendees to leave the official Event venues during official Event hours. Any violation of this regulation may, at Organizer’s discretion, result in expulsion from the event.


 NO SUITCASING

Anyone who is observed to be soliciting business in the aisles or other public spaces, in another company’s booth, or in violation of any portion of the Exhibition Policy, will be asked to leave immediately. Additional penalties may be applied. Please report any violations you may observe to the Event Manager at Doble. Doble recognizes that suitcasing may also take the form of commercial activity conducted from a hotel guest room or hospitality suite; a restaurant, club, or any other public place of assembly. For the purposes of this policy, suitcasing violations may occur at venues other than the Events. Doble must be informed of any hospitality suites and/or off-site event, and expressed consent must be received prior to the event.


REVOCATION 

Failure of the Exhibitor at any time before or during the Event period to comply with any of these terms and conditions shall automatically deprive the right to participate any further in the Event and no claim for refund of any fee paid shall be entertained by Doble.


INDEMNITY AND INSURANCE

Exhibitor’s Property: Exhibiting company agree and acknowledge that the Host Hotel / Venue (Hotel) and Doble will not be responsible for the safe-keeping of equipment, supplies, written material or other valuable items left in function rooms, guest rooms or anywhere on the Hotel property other than the Hotel safe.  State laws will govern Hotel’s liability for items stolen in guest rooms or items kept in Hotel’s safe.  Accordingly, Exhibitor agrees that it will be responsible to provide security of any such aforementioned items and hereby assumes responsibility for loss thereof. Exhibitor may not rely on any verbal or written assurances provided by Hotel staff.  Exhibitor shall hold Hotel and Doble harmless for all claims regardless of legal theory or by third parties arising out of Exhibitor’s participation in this event.  Exhibitor shall be responsible for obtaining sufficient property and liability insurance and provide Doble with a certificate of Insurance naming Doble and the Hotel as additional insured.


COMPLIANCE

Exhibitors are required to comply with all policies of the Host Hotel, and all Local, State and Federal laws.


FORCE MAJEURE

The performance of this Agreement is subject to any circumstance making it illegal or impossible to provide or use the Westin Hotel facilities, including acts of God, war, government regulations, disaster, strikes, civil disorder, or curtailment of transportation facilities. 


GOVERNING LAW

This agreement shall be governed by and construed according to the Laws of the Commonwealth of Massachusetts. Any claim between the parties arising hereunder shall be adjudicated in Massachusetts and the parties hereby assent to the personal jurisdiction of Massachusetts Courts.
